Annual Business Meeting

The Arc's Annual Business Meeting will be held at the Hyatt Regency Bellevue on Monday, August 5, 2013 at 8:30 a.m.

General Information

Voting Procedures

If your chapter is unable to attend the annual meeting, you may choose to cast your chapter’s votes by proxy. A proxy is a written document that instructs an officer of the Corporation, or another specifically named person who is serving as a delegate, to cast votes on behalf of your chapter. Using a Directed Proxy, you may direct exactly how your votes shall be cast on the matters that are to be decided at the meeting using the online form. Or you may use a General Proxy, and simply grant your designated representative the ability to cast votes in the best interests of your chapter, without specific instructions. A proxy may be revoked at any time prior to the date/time of the meeting at which the vote will take place.

Online Credentialing

Credentialing is now closed.

Per the bylaws, "A chapter may designate a representative for purposes of voting.  In the absence of any such designation, the President or a Vice President of the chapter shall be the representative.  The designated representative may be changed at any time by written notice to the Secretary of the Corporation or his/her designee."

If you missed the deadline to credential, the President of your chapter will be able to act as a representative.  If the President is not able to attend, they may send their designee with a written proxy.

Notice pursuant to MD Corps & Assoc Code Ann, § 5-206: If a quorum is not present at the annual business meeting, and a majority of those present vote to call an additional meeting, then an additional meeting shall be held upon no less than 15 days notice of time, place and purpose. At such additional meeting, those present in person or by proxy shall constitute a quorum and a majority may take any action that otherwise could be taken at this annual meeting.
